1DOWN M.C. has been founded to promote the enjoyment of owning and riding motorcycles. Our goal is to explore and ride the many scenic roads of our beautiful country. Any activities performed or sponsored by the 1DOWN M.C. will be lawful.
Each member, while wearing 1DOWN M.C. colors or participating in 1DOWN M.C. connected events such as meetings, rides or any other activities, will display and maintain a conduct of courtesy and respect towards fellow members and others outside of 1DOWN M.C. All members shall obey all traffic rules while participating in 1DOWN M.C. connected events. All members should make a conscious effort to promote drug and alcohol free motorcycle riding in the interest of safety and the integrity of the club.
Membership conduct will be defined in the By-Laws being adjunct to this charter. Each member will receive a copy of the Charter and By-Laws and will be required to affirm compliance by signature. Failure to comply with the Charter and/or By-Laws as set forth may result in penalties or in the termination of membership, in accordance with the stipulation of the By-Laws.

By-Laws
ARTICLE I -- GENERAL
A. The By-Laws have been written as an adjunct to the Charter. Proper conduct of club business, receiving and disbursement of club funds, and all membership activities and procedures shall be guided
by these By-Laws in support of the club Charter.
B. The club may be AMA sanctioned when all AMA prerequisites are met, to be decided annually according to current financial or other standings. The Board will vote at that time.
ARTICLE II -- MEMBERSHIP QUALIFICATIONS AND ENROLLMENT
II-I. - New Full Membership
A. All full member prospects shall be licensed or at least have a valid permit. In the event of any extenuating circumstances, the disciplinary committee shall be fully informed. The motorcycle must be in good operating condition and properly registered and insured according to the applicable State Motor Vehicle Department.
II-II. Full Member Prospect Sign-Up
A. Prior to sign up, full member prospects are to present a brief statement to the membership. This statement should include the reason for wanting to join the club as well as a brief history
of their motorcycling background (bikes ridden, years of riding, etc.)
II-III. Associate Membership
A. Any spouse or significant other of a full member or full member prospect who does not ride their own motorcycle but who rides as a passenger on their spouse or significant other?s motorcycle is eligible to become an Associate Member.
II-IV. Junior Membership
A. Any child of a full member who has their colors can become a Junior member so long as that child
is able to touch the sponsoring parent's rear foot pegs/floor boards flat footed simultaneously. An application must be filled out by the sponsoring
ARTICLE III -- MEMBERSHIP DUES/APPLICATION FEES
III-I. - Dues
A. Club dues are $10.00 a month.
III-II. - Membership Renewals
A. There are no dues for membership at this time.
IV-I. - The Officers
A. Current officer positions shall be as follows:

IV-II. - The Board
A. The top administrators of the club namely the Presidents, Secretary, Treasurer and Sergeant of Arms will form the Board. F. In the event the President is the Founder of 1DOWN M.C. he may never be removed as President unless voluntarily. Founder also retains absolute final decision on all matters, business and control over 1DOWN M.C.
IV-III. - Nomination of Officers
A. Nominations of officers will be held in January. Elections will be held in February. The new officers will take office on April 1
of that same year. A nominated member is required to have completed one year of membership. Associate members will never be eligible to
hold a board position. Elections shall be conducted by secret
ballot.
ARTICLE V -- DUTIES OF OFFICERS
V-I. - Duties and Obligations
A. The Duties of the President shall be:
1) To preside at all meetings of the club. 7) Vice President will act in the above duties in the event the President is not available or at the direction of the President.
B. All full member prospects must attend two meetings and attend six rides to be eligible for full membership with 90 day prospect probation.
C. All full member prospects must pledge to uphold the Charter and By-Laws.
D. During this evaluation period, all full member prospects are ineligible to vote, obtain or wear colors. After completion of the probationary period, full member prospects will be voted in as full members by club officers. Full members are not eligible to vote for a period of one year from induction as a full member.
B. At the time of sign up, full member prospects will receive a copy of the Charter and By-Laws. After having been given the opportunity to review the Charter and By-Laws,
they will be required to pay $100.00 which covers their colors. In the event the full member prospect does not join the
club for any reason at the end of their probationary period, this fee is refundable. Full member prospects will also receive a copy of the group riding instructions for familiarization at this time.
C. Full member prospects can not hold a Board position for a period of one year from induction as a full member.
B. At the time of sign up, associate member prospects will receive a copy of the Charter and By-Laws. After having been given the opportunity to review the Charter and By-Laws,
they will be required to pay $100.00 which covers their colors. In the event the full member prospect does not join the
club for any reason at the end of their probationary period, this fee is refundable. Associate member prospects will also be required to sign a waiver of liability form.
C. All associate member prospects must attend two meetings and attend six rides to be eligible for associate membership.
D. All associate member prospects must pledge to uphold the Charter and By-Laws.
E. During this evaluation period, all associate member prospects are ineligible to vote, obtain or wear colors. After completion of the probationary period, associate member prospects will be voted in as associate members
by club officers. Associate members are not eligible to vote for a period of one year from induction as an associate member. Associate members are never eligible to hold a board position but may vote for full members
who are running for the board.
F. Any Associate member who obtains a motorcycle license or a valid permit and obtains a motorcycle of their own which is in good operating condition, properly registered and insured according to the applicable State Motor Vehicle Department may then be upgraded to
a full member. To be upgraded to a full member, such person must become a probationary full member. While on probation, such person must first complete six rides on their bike. Upon completion of six rides, they will be voted in as a full member by club officers.
B. At the full expense of the sponsoring parent, the Junior Member shall be provided with a medium
sized back patch depicting the club colors and a front name patch which shall state "Junior Member.”
C. Junior member ship shall end on the Junior members 17th birthday. A child is defined as any offspring of
the member whether by birth, marriage, or adoption.
D. Junior members can not hold office or vote for any matter before the club.
Junior members shall not receive a separate newsletter.
E. Junior Members are subject to all the rules and regulations as set forth in the By-Laws
. The sponsoring parent shall be responsible for ensuring that their child abides by all said rules and regulations. The Sergeant of Arms shall
confer with the sponsoring parent before taking any disciplinary action against the child.
B. All officers starting from the inception of the club and those appointed afterwards will serve through April, 2009. Beginning with those officers elected to hold office beginning
April, 2009 and all subsequent years, a one year term shall be served by all officers.

B. The Board will operate the administration of the club activities and provide parliamentary rules during the meetings.
C. The Board has the right to appoint any club member to any position for the good of the club if no suitable member volunteers.
This applies to all club activities.
D. The Board has the right to impose penalties and to recommend membership termination.
E. In the event that a Board member resigns their position or is relieved by a majority vote of the members, s/he will be ineligible to run or hold office for a period of two years.
B. Elections will be by membership majority vote & officers in the event of a tie.
B. The duties of the Secretary shall be:
2) To have general supervision of the affairs of the club.
3) To appoint any person or committee not otherwise ordered by the club.
4) To personally represent the club on proper occasions and in business contacts.
5) To assist all other officers of the club in their records, correspondences and other duties.
6) To vote only when necessary to break a tie. In the event that there are no members because no prospect has met the requirements
to become a full or associate member, the President shall be able to vote and amend the By-Laws as they deem fit.1) To keep a record of the meetings of the club.
C. The duties of the Treasurer shall be:
2) To send out notices of regular or special meetings.
3) To handle club correspondences.
4) To perform such other duties as generally fall to that office.1) To collect dues from all members.
D. The duties of the Sergeant of Arms shall be:
2) To collect all other monies due the club.
3) To maintain club financial records and deliver reports on a timely basis.1) To maintain order at all meetings and club functions.
E. The duties of the AMA Representative shall be:
1) Go to all district AMA meetings.
F. The duties of the Board shall be:
2) Report back to the club the happenings of the meeting.
3) Go to the annual risk management meetings.
4) Bring up any concerns the club might have and submit them to the district.1) To act for the club in all matters ordered by the club.
2) To make final decisions on member expulsions.
3) To properly investigate and present to the club all business or important
activity situations.
4) To have general control over all club affairs.
V-II. - Disciplinary Committee
A. The Disciplinary Committee will comprise of the club board. Three members shall comprise a quorum at a disciplinary committee meeting. In order for the rulings to be valid, all
disciplinary committee members must be notified of a disciplinary committee meeting in advance by phone, email, text msg, or personal contact. All members shall be notified by the secretary.
B. The Disciplinary Committee shall have general control of club activities and act for the club in any matters where so directed by the club. They will investigate and present
recommendations to the club regarding all club matters. They will review charges of conduct unbecoming a club member. They will give the accused member a hearing and recommend
his/her expulsion or exoneration to the club.
V-III. - Attendance of Officers
A. As an officer, if you miss three meetings without a valid excuse or explanation you may be relieved of the office you hold by a majority vote of the members & or club officers in good standing present at the meeting in question.
A. All grievances will be handled by the Board. The grievance will be settled and all involved will be advised
of the decision.
B. The members involved have the right to appeal the decision to the membership for a final resolution.
Article VII -- MEMBERSHIP VIOLATIONS/TERMINATIONS
A. Members who are found in violation of the Charter and/or By-Laws are subject to penalties and may be expelled from the club by a majority
vote by the membership in attendance.
B. Typical examples of membership violations are:
1) Non Payment of dues or incidental fees.
C. Membership violations are not limited to the above examples. In case of serious violations affecting the well-being
and safety of other club members or the reputation of the club as a whole, members may be barred from any number of club
events, such as meetings, club rides or other functions, or their club membership may be terminated permanently.
2) Noncompliance with penalties.
3) Extremely rude, offensive or insulting behavior towards fellow members or others while involved in club activities or
wearing club colors.
4) The initiation of a physical confrontation while being involved in club activities or wearing club colors.
5) Public drunkeness while being involved in club activities or wearing club colors.
6) Participation in a club ride while intoxicated or under the influence of drugs.
7) Desecration of the club colors.
8) Unsafe riding at club runs.
A. Regular meetings will be held monthly. Meetings will be held on the 1st Sunday of every month.
Monthly meetings are opened to full members and prospects only. Meetings are mandatory!
B. The board shall meet at least once a year, in February, to plan the upcoming ride schedule.
A. Any funds in the treasury are membership monies Therefore, prudent judgment shall be used in the handling and disbursement of
such funds.
B. Any expenditure out of the Treasury in excess of $40.00 per item and a total of $150.00 per month, requires majority approval
by the membership prior to expenditure. This amount is to be reviewed at the end of each year.
C. A monthly balance of the club's financial status consisting of previous months ending balance, receivables, payables and
closed out month's ending balance will be presented verbally by the Treasurer at each meeting.
D. In addition, the membership will be provided with a copy of a yearly written annual financial statement at the January
meeting encompassing the prior year.
A. Only club members with full membership or associate membership status in good standing are authorized to wear club colors.
B. Colors are required to be worn on all club rides.
C. Club colors will remain the property of the club. Any fees paid by members in connection with obtaining colors are
considered user fees.
D. The club reserves the right to request the return of colors upon termination of membership status to prevent their
unauthorized use.
E. Only 1DOWN M.C. colors may be displayed by full and associate members while on club functions or rides. This is regarding
both front and rear insignias.
F. Colors may be pulled and held by the Board as punishment for membership violations.
A. At the January meeting, all members may make ride suggestions for the upcoming ride schedule. All club rides
will be scheduled by the Board at the February board meeting. The rides are subject to change by a majority membership
vote at any meeting.
B. Members will fully comply with and strictly adhere to all riding instructions and safety procedures. Failure to do
so constitutes a gross violation of the Charter and By-Laws and will result in direct corrective action as deemed
necessary by the Board.
C. The Sergeant of Arms is empowered to remove any member or guest from the group if their riding style and/or behavior,
motorcycle and/or equipment constitutes a safety hazard.
D. Any safety problems are to be brought to the attention of the Sergeant of Arms by all ride participants.
E. Prospects will receive written group riding guidelines at the time of sign-up.
F. All members and prospects are to have a valid motorcycle license or permit and adequate and current insurance.
G. At the January meeting, all members and prospects will sign a waiver of liability. No member or prospect will
be permitted to ride with the club unless this waiver is signed.
XI-I. - Guest Invitations to Club Rides
A. Any club member in good standing may invite other riders as guests to participate in club rides.
B. Invited guests must be introduced, prior to the ride, to the entire club in attendance by the inviting member.
C. It is the inviting member's responsibility to provide such guests with proper riding instructions prior to ride
participation, in accordance with the club group riding guidelines.
D. Inviting members must be aware that guests may not be familiar with the difference in riding style that a
group ride requires. In the interest of safety, guests unfamiliar with group riding must be kept at the rear of the
group with the inviting member where the safety of the rest of the club members is not jeopardized.
E. All guests will be required to sign a waiver of liability. No guest will be permitted to ride with the
club unless this waiver is signed.
ARTICLE XII -- AMENDMENTS TO BY-LAWS
A. Any proposed amendment must be submitted in writing to the board.
B. Upon the majority vote by the board, any proposed amendment must be read out loud at the next club meeting. Subsequent
to this meeting, it must be printed in three consecutive monthly newsletters or one quarterly newsletter, and read
to the membership for three consecutive meetings before being presented to the club for a vote.
C. Its acceptance must be proposed by a motion duly made and seconded.
D. Amendment changes and election voting, will be decided by the majority of members present at a meeting so long as at least 45% of the membership is represented at that meeting.
E. Unless otherwise specified in the motion or the amendment, the amendment shall become effective
immediately upon its passage.
A. Road Captains shall be appointed by the board.
B. Any member who has completed one year of full membership is eligible to be a Road Captain. All requests shall be submitted
in writing to the board.
A. An editor of the newsletter shall be appointed by the Board.
B. Any member who has completed one year of full membership is eligible to become the editor. All requests shall be submitted
in writing to the Board.
C. A newsletter shall be issued monthly or quarterly, to be determined by the editor in conjunction with the needs of the
club. The needs of the club shall be determined by the Board.
D. The newsletter shall be issued no later than the first of the month or quarter. All submissions to be published
in the newsletter shall be submitted to the editor and both Co-Presidents, no later than the prior months meeting.
E. The editor, with the input of the Board, shall determine what is appropriate to publish in the newsletter.
A. During 90 day prospect period, all Prospects will be reffered to as "Prospect".
B. Prospects will properly introduce themselfs as follows "1DOWN Prospect". Your club name will not be used until you become a member.
C. Prospects are required to keep a close eye on the President at all times. This is mandatory!
D. Prospects are required to acompany all Members & fellow Prospects to restrooms, to go buy a drink, & even while a member is speaking to someone outside 1DOWN M.C.
E. A Prospect shall NEVER challenge the knowledge of a "veteran" club member in 1DOWN M.C. or from another club.
